Mutual Non-Disclosure Agreement (summary). By signing below, you ("Applicant") and ChiScene Hub HQ ("HQ") agree that any non-public information either party shares during the franchise evaluation — including the franchise playbook, fee structure, revenue-share terms, operations documents, technical architecture, partner lists, financial projections, unreleased features, applicant business plans, and identifying details about either party's contacts — is Confidential Information.
Each party will (a) use Confidential Information only to evaluate a possible franchise relationship, (b) protect it with the same care it uses for its own confidential information (and no less than reasonable care), and (c) not disclose it to any third party without the other party's written consent, except to employees, advisors, or counsel who are bound by equivalent confidentiality duties.
Confidential Information does not include information that is publicly known through no fault of the receiving party, was already known prior to disclosure, is independently developed without use of the other party's Confidential Information, or is rightfully received from a third party without a duty of confidentiality.
This NDA remains in effect for three (3) years from the date of signature below. Trade secrets are protected for as long as they remain trade secrets under applicable law. This NDA does not grant either party any license to the other's intellectual property, does not create any franchise or business relationship, and does not obligate either party to enter into any further agreement.
